Terms

By using Backstock you agree to these terms (version 2026-10-27) and the Risk disclosure. If you don't, don't use the site.

What Backstock is

Backstock is a website and API in front of a Solana program. Backers pool a quote asset (SOL, USDC or a tokenized stock such as SPYx) into a raise; the program launches the coin on Raydium LaunchLab priced in that asset and makes the backers' first buy in the same instruction; a rate-limited vault agent then trades each launch's vault under on-chain rules. We are not a broker, exchange, fund manager or adviser, and nothing here is investment, legal or tax advice.

Memecoins are extremely speculative. Most lose most of their value, prices can move to zero in minutes, and you can lose everything you put in. Transactions on Solana are final.

Who may use Backstock

You must be of legal age where you live. You may not use Backstock if you are a US person, or if you live in, are located in or access the site from United States (and US persons anywhere), Canada, United Kingdom, Australia, Cuba, Iran, North Korea, Syria, Russia, Belarus, Crimea and the so-called Donetsk and Luhansk People's Republics, or if you are on a sanctions list. Tokenized stocks such as xStocks are not offered to US persons by their issuers, and we apply the same rule to every launch priced in one.

  • Accepting these terms on your first visit confirms that you are eligible under this section. You are responsible for following the laws that apply where you are.
  • Don't use a VPN, proxy or someone else's account to get around these rules. We may restrict access at any time. The program itself is public on Solana; these rules govern this site and API.

What a coin is, and isn't

Coins launched on Backstock are memecoins. They are not shares and give no claim on any company, on the stock they are priced in, on that stock's issuer, on Backstock, or on a launch's vault. Being priced in NVDAx doesn't make a coin an NVIDIA product or tie it to NVIDIA in any way.

Backing a raise is not an investment in a company or a fund. Your deposit buys the coin at the open, pro-rata with the other backers, and the vault holds what it bought. The vault can go to zero. Backers are paid back only if the vault's liquid quote reaches 5× what it held at launch (principal first, then 15% of the vault at most every 4h), and only while the vault agent and the quote asset can transact.

Tokenized stocks and their issuers

Tokenized stocks are third-party products (for example xStocks, issued by Backed). Backstock is not affiliated with their issuers or with the companies whose shares they track, and their own terms and prospectuses apply to them. Their issuers keep powers over every token they issue, in every account, including a launch's vault:

  • pause all transfers, which stops backing, trading, payouts and graduation for every launch priced in that stock until they resume;
  • freeze a specific account, which can strand a single launch's vault;
  • move or burn tokens from any account (a permanent delegate), which can empty a vault's quote.

We don't control these powers and can't reverse their effects. Corporate actions (dividends, splits) change the issuer's display multiplier; the program accounts in raw units and Backstock shows the multiplier when it isn't 1. Details: Risk disclosure.

Vault funds, the platform admin key and the dev key

Each launch's vault (the quote and tokens its bundle and agent hold) is controlled by the program, and the program gives two parties the power to withdraw vault quote and tokens at any time: the platform admin key — a single key at launch; it is also the program's upgrade authority — to the platform's fee recipient (admin_withdraw_vault), and a single dev key set by that admin (dev_withdraw_vault, which works even while the platform is paused). Every withdrawal is a public on-chain event shown on the launch page. Don't rely on vault funds staying in a vault, on the vault agent ever buying, or on the vault ever paying backers back.

The same admin key can upgrade the program, pause launches and the vault agent, curate which quote assets can be used, and change platform parameters (live launches keep the terms they were created with). See Risks for the full list.

Raydium, Jupiter and other third parties

Launches trade on Raydium LaunchLab and, after graduation, a Raydium CPMM pool; graduation itself is run by Raydium. Prices may come from Jupiter and Pyth, and transactions travel through RPC providers. These are independent services with their own terms, fees, outages and bugs; we are not responsible for them.

Fees

Every curve trade pays 1.25% in the quote asset: 0.25% to Raydium, 0.5% to Backstock and a 0.5% creator fee that belongs to the launch. The launch's creator fees (on the curve and, after graduation, in the CPMM pool) are split 75% to its vault, 15% to buy back and burn the Backstock token and 10% to its backers. Backstock also takes a launch fee of 1% of the raise, a flat create fee in SOL, and the fee rights of the locked liquidity after graduation. Creators take no cut. Each launch's exact terms are frozen at creation and shown on its page; fees explains every one.

Google wallets are custodial

If you sign in with Google, we create a Solana wallet for you and hold its key, encrypted, on our servers. We sign with it only for transactions you start on this site that pass our signing rules, and you can withdraw your funds or export the key at any time from the wallet menu.

  • If our servers or our encryption key were compromised, or the key or the account database were lost, the funds in Google wallets could be stolen or become unreachable. Keep only what you can afford to lose in one, and move larger amounts to a wallet you control.
  • Whoever controls your Google account controls your Backstock wallet, including exporting its key. Keep your Google account secure.
  • An exported key gives full control of the wallet to anyone who sees it. We will never ask you for it.

Your responsibilities

  • Use Backstock only where it is legal for you to do so, follow the laws that apply to you, and pay your own taxes.
  • Don't manipulate markets, wash-trade, impersonate others or companies, launch coins that infringe rights or imply an endorsement by any company, or attack the site.
  • Creators are responsible for their coin's name, image, links and claims. We may hide content or comments from the site; on-chain data stays on-chain.

No warranty

Backstock is provided as is. The program, the site and the account service may have bugs, and Solana, Raydium, quote issuers or our providers may be unavailable. To the extent the law allows, we are not liable for losses from using Backstock, including lost funds, failed or mistaken transactions, issuer actions and token prices.

Changes

We may change these terms. The date at the top changes with them, and when they change in substance the version changes too and the site asks you to accept again before you continue.
